Referral Program Agreement
Access to and use of the Customer Referral Program (as defined below) is subject exclusively to the following terms and conditions (‘Terms of Service’).
By signing up for the Customer Referral Program, you (the ‘Member’ or ‘you’) fully accept these Terms of Service. If the Member does not accept these Terms of Service, the Member must immediately stop using or participating in the Referral Program. If the Member nonetheless uses or participates in the Referral Program, it will be deemed to have agreed to be bound by these Terms of Service.

1. Applying to our Customer Referral Program
You are applying to our Customer Referral Program right now. Codebay Solutions Limited (‘Lodgify’, ‘us’, ‘we’ or ‘our’) reserves the right to decline or remove enrollment from the program at our discretion.
Once your application has been accepted, you will be able to start sharing your referral link and earning referral rewards.
2. Referral Dashboard
Once registered in the Customer Referral Program, you shall be granted access to your referral dashboard. Such dashboard will contain everything you'll need to promote Lodgify’s website and product, including:

3. Referral link and Discount code
The Member shall be granted with a personal discount code (hereinafter, each a ‘Discount Code’), which will allow new customers to register in Lodgify’s platform through the Member’s referral link and obtain a discount and which will be subject to the following conditions:
New customers must meet the following criteria to use each Discount Code: 1) must be 18 years of age or older, 2) shall purchase Lodgify’s subscription relevant to each Discount Code, 3) shall purchase the subscription within the validity period, and 4) shall not be an existing current customer of Lodgify or have been a Lodgify customer in the past 6 months.
Each Discount Code is valid for a limited time only. Lodgify reserves the right to modify or cancel it at any time. The Discount Code is not transferable, and may not be resold or redeemed for cash. If the Discount Code is not added at the moment of registration and subsequent purchase of any subscription, no refund will be issued.
Each Discount Code offers each new customer an additional 20% discount over the cost of the monthly plan and it can only be redeemed when subscribing to yearly and/or bi-yearly subscriptions. The maximum amount of the discount shall equal 50% of the total monthly subscription cost.
This means that the discount will be calculated over the monthly subscription price and is not cumulative to the already present discounts on the yearly and bi-yearly subscription rates. In other words, the total discount will never be more than 50% discount over the monthly subscription rate.
Therefore, if users apply the Discount Code to their new yearly or bi-yearly subscription, they will have up to 50% off their respective monthly subscription rate on their first billing cycle.
The Discount Code is created for Customer Referral Program purposes, and it is forbidden to share this code with anybody else or to share it online.
How to use the Discount Code:
To redeem the discount, the user must enter the Discount Code during the check-out process, at which time the discount will be applied per the terms of the specific promotion.
The Discount Code is limited to one coupon code per subscription/purchase. Only one Discount Code can be used each time and therefore cannot be combined with other offers using the promotional code.

Limitation of liability:
Improper use of the Discount Code is prohibited and may constitute fraud. Lodgify reminds users of the nature and limitations of the Internet and does not accept any responsibility for any occurrences resulting from the users’ connection. No responsibility is accepted for ineligible or fraudulent use of the Discount Code.
In particular, Lodgify does not accept responsibility for any damage (whether material or non-material) caused to users, to their computer equipment or to data that is stored on them, or to their personal, professional, or commercial activities.
4. Referral Commissions
Through the referral dashboard, in the framework of the Customer Referral Program, you will receive a reward for each new and unique yearly or bi-yearly customer brought to Lodgify’s platform, subject to fulfillment of the requirements set forth below. Your progress for each category of referral will be reflected in real time on your referral dashboard.
Through the referral dashboard, you shall be provided with a link with a referral ID attached. In order to track your sales and traffic, the full URL with the referral link must be attached. Lodgify’s social sharing shortcuts have your referral link embedded in their posts.
When a prospective client visits our site from your referral link, we will be able to register their purchase (if and when they make one) and attribute the sale to you.
In that regard, you will be entitled to referral rewards in the form of gift cards, as follows:
You shall be entitled to a Tango Gift card with a value of 50 USD, to be used to acquire any of the services provided in their Reward Catalog, for each customer referred to you through the provided link (the “Reward”). You can read more about the gift card here.
Payment of the Reward shall be subject to each new customer acquiring a yearly or bi-yearly subscription to Lodgify’s platform.
If the previous requirements are met, the Reward will be issued, through the referral dashboard, 30 days after the sale by the relevant new customer. For clarification purposes, if within such term the relevant new customer requests the cancelation of the subscription and a refund, the Member shall not be entitled to the Reward.
You are prohibited from running any sort of advertising, including Search Engine Marketing campaigns (e.g. Google Ads, Bing Ads, etc.) and Meta ads. Lodgify already runs advertising campaigns, so we ask our Members not to do it for our products and services.
We reserve the right to investigate any suspicious or inappropriate activity relating to the Referral Program. Notwithstanding any provision of these Referral Terms, we are not be obligated to pay any Referral Rewards if we determine, in our sole discretion, that:
If you use your personal referral link to subscribe to Lodgify or you subscribe to more than one account.
You have engaged in any fraudulent or deceitful behavior in connection with the Referral Program, including, without limitation, if you, directly or indirectly, offer any person a financial or other incentives to complete the Sign-Up Process using your Referral Link or attempt to redirect traffic from or divert Referral Rewards from, any other participant in the Referral Program.
You referred new customers to Lodgify without your personal referral link.
You referred new customers to Lodgify before July 2021, when the Customer Referral Program was released.
Lodgify reserves the right, in our sole discretion, to delay payment of any Referral Rewards while we investigate your participation in the Referral Program or any use of your Referral Links. In addition, Lodgify reserves the right to suspend or delete your referral account immediately without commission.

Both Lodgify and the Member shall be entitled at any time to terminate the participation of the Member in the Customer Referral Program, with a one (1) day prior notice to the other party. After such termination, the Member shall cease to access and/or use the Customer Referral Program.
In case of termination by Lodgify, the Member shall be entitled to receive Rewards for any potential new customer who has registered to Lodgify’s platform prior to such termination, provided the requirements set forth in clause 4 are met.
Lodgify reserves the right to refuse any referral payout based on findings of its own investigations into suspected fraudulent activity.
7. Changes to the Terms of Service
We reserve the right to change these Terms of Service at any time and, where appropriate, upon giving the Member notice via email in advance. The Member’s continued use of the Customer Referral Program following any changes shall be deemed to be the Member’s acceptance of such changes.
If any of the provisions or part provisions contained in these Terms of Service should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such provision or part-provision shall be severed, and the remaining provisions and part provisions shall survive and remain in full force and effect and continue to be binding and enforceable.
Our failure to enforce at any time or for any period any one or more of the provisions of these Terms of Service shall not be a waiver of them or the rights attaching to any of them.
10. Third Party Rights
These Terms of Service do not confer any rights on any person or party (other than the parties to this agreement and, where applicable, their successors and permitted assigns) pursuant to the Contracts (Rights of Third Parties) Act 1999.
